1. Acceptance and capacity
You represent that you have legal capacity to enter into this contract. If you are between 13 and 18 years old, you may use the Service only with specific consent from at least one parent or legal guardian, expressed upon account creation.
If you use the Service on behalf of a legal entity, you represent that you have authority to bind it.
2. Description of the Service
Frendi provides a personal AI presence ("AI Friend") able to converse with you by text, voice, video and WhatsApp, with persistent memory, customizable avatar and voice, and concierge features (including search and proposal of flights, stays and experiences, and aggregated financial visibility via Open Finance).
The Service is provided ‘as is’ and ‘as available’ and may be updated, modified or discontinued at any time, subject to legal obligations. Third-party features depend on partner availability and are subject to their own terms.
3. Account, credentials and security
You are responsible for keeping your credentials confidential and for all activities performed under your account. Notify us immediately of any unauthorized use.
We may suspend accounts showing signs of misuse, fraud or breach of these Terms.
4. Plans, billing, renewal and refund
The Service offers a free plan with limits and paid plans (subscription) with additional features. Current prices, periodicity, currency and benefits are shown at checkout in the app.
Payments via Stripe are processed in a PCI-DSS environment. Payments via Apple App Store or Google Play are processed by the respective stores. Subscriptions renew automatically until cancelled.
You can cancel renewal at any time in-app or in the store of purchase. Cancellation takes effect at the end of the already paid period, with no proportional refund unless required by applicable law.
7-day refund window for off-premises purchases under Brazilian Consumer Code Art. 49 when applicable.
5. Prohibited conduct
You agree NOT to use the Service to:
Violations may result in warning, suspension, termination, content removal and civil/criminal liability.
- Engage in unlawful acts, fraud, infringement of third-party rights, discrimination, harassment, sexual exploitation, child abuse or incitement to violence.
- Send defamatory, obscene, pornographic, racist or xenophobic content or material that infringes copyrights, trademarks, trade secrets or privacy.
- Clone a voice, generate a facial avatar or impersonate someone other than yourself without their express, free and specific authorization.
- Reverse engineer, copy, modify, create derivative works of, decompile or attempt to extract the Service's source code.
- Perform load testing, scanning, intrusion or vulnerability exploitation without our prior written authorization.
- Use bots, scrapers or automated means, except official APIs.
- Resell, sublicense or make access available to third parties without our authorization.
6. Intellectual property
All rights to the Service — software, design, marks, logos, editorial content, proprietary models, visual identity and documentation — are exclusively owned by SATOSHI TECHNOLOGY LTDA or its licensors, protected by Brazilian law and international treaties.
We grant you a personal, limited, non-exclusive, non-transferable and revocable license to use the Service under these Terms.
You retain all rights to the content you submit. By using the Service, you grant us a worldwide, royalty-free, non-exclusive and limited license to host, process, transmit, display and adapt your content solely to operate and improve the Service for you, for no other purpose.
7. AI-generated content — limits and liability
The AI Friend produces responses from statistical models and may occasionally generate inaccurate, incomplete, outdated or unduly suggestive content (‘hallucination’). You agree to verify relevant information before making decisions.
The Service is NOT a substitute for medical, psychological, legal, accounting, financial, tax or investment advice. In situations of serious risk to life or integrity, contact emergency services immediately.
We may filter or block responses that violate security policies, third-party rights or applicable law.
8. Avatar, cloned voice and facial capture
Voice cloning and facial avatar are optional features enabled only with explicit and specific consent. By enabling them you declare that:
You may revoke consent at any time; the voice_id and avatar replica will be deleted within 30 days.
Strictly prohibited: using voice and avatar to impersonate public or private persons without written authorization, to generate misleading or harmful content or for any unlawful purpose.
- The voice is yours, or belongs to a person who has expressly authorized, freely and specifically, its use for that purpose.
- The image is yours, or belongs to a person who has expressly authorized, freely and specifically, its use for that purpose.
- You are fully liable for any unauthorized use of third-party voice or image, holding us harmless.
9. Third-party integrations
Flights (Duffel), hotels (Booking), experiences (Viator), payments (Stripe), Open Finance and channels (WhatsApp/Twilio) are provided by third parties and governed by their own terms and policies. We are not party to the contract between you and the respective partner and are not liable for their own obligations (delivery, cancellation, third-party service quality, etc.), except as required by intermediary laws.
10. Limitation of warranties and liability
To the maximum extent permitted by law, the Service is provided without warranty of fitness for a particular purpose, error-free operation, continuous availability or accuracy of AI-generated content.
We are not liable for indirect damages, lost profits, loss of opportunity or data, save in cases of willful misconduct or gross negligence, subject to the Brazilian Consumer Code and other mandatory rules.
Where a limitation is prohibited by law (e.g., in consumer relations), the applicable legislation prevails.
11. Indemnification
You agree to hold us, our affiliates, officers, employees and agents harmless from any claims, losses, damages, costs and expenses (including reasonable attorneys' fees) arising from: (i) breach of these Terms; (ii) infringement of third-party rights (including image, voice, copyright and trademark); (iii) misuse of the Service from your account.
12. Suspension, termination and account deletion
You may terminate your account at any time in-app. Termination triggers personal data deletion within the timeframes set in the Privacy Policy, except where legal obligations require retention.
We may suspend or terminate access in whole or part for breach of these Terms, law, authority orders, fraud, abuse, or risk to platform or third-party security.
13. Changes to these Terms
We may update these Terms. Material changes will be communicated with reasonable notice in-app and by email. Continued use after the effective date implies acceptance. If you disagree, you may terminate your account at no cost, subject to any sums already due.
14. Governing law and dispute resolution
These Terms are governed by Brazilian law. The forum of [A PREENCHER — comarca e estado] is elected, without prejudice to consumer rights to sue in the forum of their domicile (Brazilian Consumer Code, Art. 101, I).
The parties will use best efforts to resolve disputes amicably. Prior mediation is encouraged before any judicial action.
